The acquisition of Tele2 France by SFR was confirmed yesterday. Operation occurs for EUR 350 million in cash and generates a loss of 107 million for the Swedish operator. The subsidiary of Vivendi and Vodafone buys that the activities of fixed telephone (3 million customers) and Internet access (nearly 300,000 customers ADSL). Theoretically, it will have the right to use the Tele2 brand for three years. But it has instead rely on this purchase to offer ADSL under its own brand.
The Swedish operator has justified this assignment by the consolidation in the French market and "fierce competition" is prevailing, "one of the highest in Europe." In fact, redeemed activities are in decline since 2004, hit hard by the take-off of the phone on the Internet. In 2005, they have earned a profit of operation of 65 million euros ( 31) on a turnover of 615 million ( 13). In the first half of 2006, they won a gross operating surplus of 28 million on a turnover of 260 million. The number of fixed telephone customers had reached end of 2004, one above 3.7 million.

In practice, Tele2 provides wholesale in ADSL with Neuf Cegetel under an agreement in 2005. Tele2, after an initial payment of EUR 62 million, has very reduced rates: a study of Ixis, it pays about 15 euros per line, against autour of 23 euros for other customers of Neuf Cegetel Club Internet and AOL.
Tele2 also holds for its traffic, a national network of Nokia telephone exchanges. SFR therefore inherits such a network, which he did not have until then, but it indicates that the project is to continue to buy traffic to Neuf Cegetel.
In contrast, SFR refuses the operator mobile virtual (MVNO) Tele2, the most important of the hexagon with more than 300,000 clients. The MVNO will remain detained by Tele2 and will continue to use the mark of the Swedes. It should take a dozen of the 72 employees of the French subsidiary.
The MVNO is not sold, if particularly because it is hosted by Orange and that the latter has a right to look at the owner of the MVNO.
Discontent of Orange
France Telecom subsidiary is not very pleased of the operation. It is concerned about the fact that a large part of the MVNO customers are also customers of Tele2 for the fixed phone. Indeed, Tele2 has just promoted its mobile offering with its existing customer base. SFR will therefore inherit the fixed telephone customers file, which should largely overlap mobile clients file. And Orange fears that SFR Vienna solicit the MVNO customers to retrieve. "The letter of the Expansion", Orange would consider a legal remedy, as it has no "intent to let this transaction without reacting, in view of the absence of credible guarantees on the basis of the MVNO subscribers".
SFR responds that it cannot identify the MVNO customers in the customer file and it says "be committed not specifically solicit the MVNO customers." "Orange has its word to say that if the MVNO changes of owner, which is not the case", adds a record close.
